By buying, installing, or using Salience, you agree to these terms. Salience is provided by Jordan Hindo, operating as Latent Sea ("we", "us"). If you don't agree, don't use it.
1. Eligibility
You must be at least 18 (or the age of majority where you live) to buy or use Salience.
2. Beta software
Salience is currently beta software. It may contain bugs, may change, and may occasionally break. We provide it "as is", without guarantees of uptime, compatibility with every system or DAW, or that any specific feature will keep working.
3. Your license
When you buy Salience, we grant you a personal, non-exclusive, non-transferable license to install and use it on your own machines for making music, per the plan you purchased. You may not:
- resell, rent, sublicense, or share your license or license key;
- redistribute the Salience installer or its Style packages;
- reverse-engineer or circumvent the licensing, except where the law expressly allows.
4. AI-generated sounds and your rights
- You may use sounds you generate with Salience in your finished musical works, subject to (a) the license of the Style you used and (b) the terms of the underlying AI models (below).
- You are responsible for the rights to anything you feed in. If you import, drag in, or "Stylize" audio, you confirm you own it or have permission to use it that way.
- We do not guarantee that generated sounds are unique, non-infringing, royalty-free, or cleared for every use (for example, reselling raw generated one-shots as a sample pack is not something we permit or warrant). If a use depends on clearance or resale rights, make sure you have those rights before using it that way.
5. Third-party AI models
Salience downloads and runs AI models on your computer, including Stability AI's Stable Audio under the Stability AI Community License and a Google Gemma component under the Gemma Terms of Use. By using Salience you also agree to comply with those upstream licenses and their acceptable-use terms. We can't grant you rights that those licenses don't grant.
6. Styles
Official Latent Sea Styles are licensed to you for personal and commercial music use. You may not redistribute the Style packages themselves.
7. Payment, taxes, and refunds
Purchases are processed by Stripe Managed Payments, our merchant-of-record service; Stripe handles pricing display, taxes, and invoices. Refunds follow our Refund Policy (14-day, no-questions-asked).
8. Disclaimer of warranties
To the fullest extent allowed by law, Salience is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the fullest extent allowed by law, our total liability to you for any claim relating to Salience is limited to the amount you paid us for it. We are not liable for indirect, incidental, or consequential damages (such as lost projects, lost profits, or lost data), so please keep your own backups.
10. Termination
We may suspend or end your license if you materially breach these terms. Sections that by nature should survive (ownership, disclaimers, liability limits) survive termination.
11. Governing law
These terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules.
